Recruiting Referral Agreement

1. Parties
This Recruiting Referral Agreement is between Migna Safety Solutions LLC ("Migna," "we," "us") and the partner named in the partner account that accepts it ("you"). It supplements the Partner Program Terms; where the two differ on recruiting, this Agreement controls.
2. Eligibility
Recruiting referrals are currently open only to partners with an address in Florida. We are opening the recruiting track state by state; the referral form shows the states that are open at the time you submit. If your address moves to a state where recruiting is not open, new recruiting referrals pause until it is; referrals already submitted keep their attribution.
3. What a referral is
A written introduction, submitted through our referral form, of a company that is hiring for a safety role and with which we have no existing relationship or active discussions. Your referral is attributed to you for 180 days from the timestamp of submission and covers every placement we make with that company in the 12 months after your submission. If two partners refer the same company, the earliest timestamped submission controls.
4. Your fee
15% of the placement fee we actually collect from the hiring company for each placement covered by your referral.
5. When it is paid
Commissions on recruiting placements are paid 15 days after the 90-day placement guarantee clears. If the placement is refunded under that guarantee, the commission is forfeited, and any commission already paid on it is deducted from your next payout.
6. Candidates
We never charge a fee to a candidate. Our recruiting fees are paid by the hiring company only. You may not ask a candidate for money in connection with a referral or a placement. Candidate information you learn through the Program is confidential; use it only to make the introduction.
7. Your role
You are an independent contractor. You are not an employee, agent, partner, or joint venturer of Migna Safety Solutions LLC. You cannot sign for us, bind us, or make promises on our behalf. You decide when and how you promote the Program, and you are responsible for your own taxes, insurance, and business expenses. Nothing in the Program creates an employment relationship. You make the introduction; we run the search, the candidates, and the client relationship.
8. Disclosure
If you recommend Migna anywhere people can see it (social media, a newsletter, a video, a podcast, a group chat, a forum) you must clearly and conspicuously disclose that you may earn a commission. This is required by the FTC Endorsement Guides, 16 CFR Part 255. Put the disclosure where people will see it before they act, not buried at the end or behind a link. We may suspend payouts on sales or referrals that came from promotion without a clear disclosure, and repeated undisclosed promotion is grounds for termination.
9. Term and ending it
This Agreement runs until either of us ends it by written notice, including by email. Referrals submitted before the notice keep their attribution and are paid under this Agreement. Ending it for a violation of the Partner Program Terms forfeits unpaid recruiting commissions.
10. Governing law
This Agreement is governed by Florida law.
How it is signed: we email this Agreement to recruiting partners after signup; replying with your name and the words “I agree” signs it, and we record the date on your account.
