These Terms govern participation in the Migna Safety Solutions LLC ("Migna," "we," "us") Partner Program: the Training Affiliate Program, the Software Referral Program, and the Recruiting Referral Program (together, the "Program"). By enrolling, you ("Partner") agree to these Terms. Recruiting partners also sign our one-page Recruiting Referral Agreement, which carries the same recruiting terms.

1. Enrollment

Enrollment requires a completed signup form. We may accept or decline any application and may require identity verification. Partners must be 18 or older. Migna employees, contractors, and their immediate households are not eligible for commissions on their own purchases or accounts.

A completed IRS Form W-9 (or a W-8 series form for non-U.S. persons) is required before your first payout. Earnings accrue from day one, but nothing is paid until it is on file. Where the IRS reporting threshold is met, we issue Form 1099-NEC.

2. Independent Contractor Status

You are an independent contractor. You are not an employee, agent, partner, or joint venturer of Migna Safety Solutions LLC. You cannot sign for us, bind us, or make promises on our behalf. You decide when and how you promote the Program, and you are responsible for your own taxes, insurance, and business expenses. Nothing in the Program creates an employment relationship.

3. Training Affiliate Program

Each Partner receives a unique promo code. When a customer applies the code at checkout: the customer receives 15% off the purchase price, and the Partner earns a commission equal to 15% of the net sale (the amount actually paid after the discount, excluding taxes and payment processing fees). Attribution is by promo code at the time of purchase; no code, no commission. Commissions apply to individual course purchases and to company or bundle purchases made with the code unless a separately negotiated corporate rate applies.

4. Software Referral Program

A software referral is a written introduction, submitted through our referral form, of a company genuinely evaluating safety compliance software, where Migna has no existing relationship or active discussions with that company. If the referred company becomes a paying subscriber within 180 days of submission, the Partner earns, at the Partner's election made at enrollment: (a) a one-time bounty of $500 per subscribed account, or (b) 15% of the subscription fees actually paid by that account during its first 12 months. Under either option, amounts first become payable after the account's third consecutive paid month. Where multiple Partners refer the same company, the earliest timestamped submission controls.

5. Recruiting Referral Program

Recruiting referrals are currently open only to partners with an address in Florida. We are opening the recruiting track state by state; the referral form shows the states that are open at the time you submit.

A recruiting referral is a written introduction, submitted through our referral form, of a company that is hiring for a safety role, where Migna has no existing relationship or active discussions with that company. If we place a candidate with the referred company within 180 days of your submission, you earn 15% of the placement fee we collect. The referral covers every placement we make with that company in the 12 months after your submission. Where multiple Partners refer the same company, the earliest timestamped submission controls.

Commissions on recruiting placements are paid 15 days after the 90-day placement guarantee clears. If the placement is refunded under that guarantee, the commission is forfeited, and any commission already paid on it is deducted from your next payout.

We never charge a fee to a candidate. Our recruiting fees are paid by the hiring company only. You may not ask a candidate for money in connection with a referral or a placement.

Recruiting partners also sign our one-page Recruiting Referral Agreement, which carries these same terms and the same state restriction.

6. Disclosure When You Promote Us

If you recommend Migna anywhere people can see it (social media, a newsletter, a video, a podcast, a group chat, a forum) you must clearly and conspicuously disclose that you may earn a commission. This is required by the FTC Endorsement Guides, 16 CFR Part 255. Put the disclosure where people will see it before they act, not buried at the end or behind a link. We may suspend payouts on sales or referrals that came from promotion without a clear disclosure, and repeated undisclosed promotion is grounds for termination.

A short line is enough, for example: "I may earn a commission if you buy training or sign up with my code or referral."

7. Payouts

  • Method: PayPal, to the account named at signup. Partner is responsible for keeping payout details current.
  • Schedule: training commissions are paid monthly on the 15th for the prior calendar month. Software referral amounts are paid quarterly, within 15 days after quarter end, once eligible under the Software Referral Program section. Recruiting commissions are paid as described in the Recruiting Referral Program section.
  • Minimum: balances under $50 roll forward to the next payout date.
  • Reversals: commissions are reversed for refunds, chargebacks, cancellations within the guarantee period, and unpaid invoices. Reversed amounts are deducted from the current balance or repayable on request.
  • Taxes: as an independent contractor you are responsible for your own taxes. We issue Form 1099-NEC where the IRS reporting threshold is met, using the W-9 on file.

8. Prohibited Conduct

The following result in forfeiture of unpaid commissions and termination from the Program:

  • Self-referrals: using your own code for your own or your company's purchases, or referring an entity you own or control.
  • Bidding on "Migna" or confusingly similar terms in paid search, or registering domains or social handles implying you are Migna.
  • Spam, unsolicited bulk messaging, or posting codes to coupon-aggregator sites.
  • Promoting Migna without the disclosure described above.
  • Misrepresenting Migna's products, pricing, or your relationship with Migna, or making guarantees on our behalf.
  • Charging or soliciting money from a candidate.
  • Any unlawful, deceptive, or fraudulent activity, including manufactured or incentivized transactions.

9. Program Changes and Termination

We may modify commission rates, discounts, eligible states, or these Terms prospectively on 30 days' notice; changes do not reduce commissions already earned. Either party may terminate participation at any time. On termination without cause, earned commissions are paid on the normal schedule; on termination for violation of the Prohibited Conduct section, unpaid commissions are forfeited. Codes are deactivated at termination.

10. General

Partner participation is non-exclusive and grants no license to Migna trademarks beyond approved promotional materials we supply. These Terms are governed by Florida law. We may set off amounts owed. If any provision is unenforceable, the rest remains in effect.

Frequently Asked Questions

When do I get paid?

Training commissions: monthly on the 15th for the previous month, once your balance is $50 or more. Software referrals: quarterly, and only after the referred account has completed three paid months. Recruiting referrals: 15 days after the 90-day placement guarantee clears.

What counts as a successful referral?

Training: a completed purchase using your promo code. Software: a company you submitted through the referral form that becomes a paying subscriber within 180 days. Recruiting: a company you submitted through the referral form where we place a candidate within 180 days and collect our fee.

What if the deal falls through, refunds, or cancels?

Commissions follow the money. If a course is refunded, a subscription cancels before three paid months, or a placement is refunded under the 90-day guarantee, no commission is due, and any commission already paid on it is deducted from your next payout.

What if someone else refers the same company?

First timestamped submission wins. Submit early, even if the conversation is preliminary.

How long does my referral last?

Software and recruiting referrals stay attributed to you for 180 days from submission. If nothing is signed in that window, the referral expires and the company becomes open again.

Why is recruiting only open in some states?

Recruiting is regulated differently from state to state, so we are opening it one state at a time. It is currently open to partners with an address in Florida; the referral form always shows the current list. Training and software referrals are open everywhere.

Do I have to tell people I earn a commission?

Yes, every time you recommend us publicly. The FTC requires it and so do we. Something like "I may earn a commission if you buy training or sign up with my code or referral." placed where people see it before they act is enough.

Does a candidate ever pay anything?

No. Candidates never pay a fee to Migna or to you. Our recruiting fees come from the hiring company only.

Am I an employee of Migna?

No. Partners are independent contractors. You get a 1099-NEC, not a W-2, and you set your own hours and methods.

Can I do all three programs?

Yes, if you are in a state where recruiting is open. Training and software are open everywhere. Recruiting also requires signing the one-page Recruiting Referral Agreement.

Do I need to be a safety professional?

No. Anyone 18+ who completes signup and a W-9 can participate.

How do I track my referrals and earnings?
